These Terms of Use govern your use of the online athletic training program provided by MGL ATHLETICS LLC. By accessing or using this program, you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you may not access or use the program.

1. Use of Program

1.1 License: Subject to these Terms of Use, MGL ATHLETICS LLC grants you a limited, non-exclusive, non-transferable license to access and use the online athletic training program for your personal use.

2.3 Exceptions: The obligation of non-disclosure shall not apply to any information that:

Is or becomes publicly available through no fault of yours.
Was rightfully known to you prior to disclosure by MGL ATHLETICS LLC.
Is independently developed by you without reference to the Confidential Information.

3. Intellectual Property

3.1 Ownership: MGL ATHLETICS LLC retains all right, title, and interest in and to the online athletic training program, including all intellectual property rights.

3.2 Feedback: If you provide any feedback, suggestions, or ideas regarding the program ("Feedback"), you grant MGL ATHLETICS LLC a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the program.

4. Disclaimer of Warranties

4.1 No Warranties: The online athletic training program is provided on an "as is" and "as available" basis, without any warranties of any kind, express or implied.

5. Limitation of Liability

5.1 Limitation: In no event shall MGL ATHLETICS LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the program.

6. Governing Law and Dispute Resolution

6.1 Governing Law: These Terms of Use shall be governed by and construed in accordance with the laws of Tennessee, United States.

6.2 Dispute Resolution: Any dispute arising out of or relating to these Terms of Use shall be resolved exclusively through arbitration in Nashville, Tennessee.

7. Miscellaneous

7.1 Entire Agreement: These Terms of Use constitute the entire agreement between you and MGL ATHLETICS LLC regarding the online athletic training program, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.

By accessing or using the online athletic training program, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
